1. Agreement to Terms
By accessing or using Innerhive's services, website, or applications (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.
2. Description of Service
Innerhive provides AI-powered caregiving support tools, resources, and community connections for family caregivers and their support networks. Our Service includes features such as recording and summarizing medical appointments, care coordination tools, care mapping, document storage, caregiver wellness tracking, access to curated resources, and community support features. The Service is designed to help families manage caregiving responsibilities, reduce caregiver burnout, and improve care coordination. We reserve the right to modify, suspend, or discontinue any part of the Service at any time without notice.
3. Account Registration
3.1 Eligibility
You must be at least 18 years old to use this Service. By creating an account, you represent and warrant that you meet this age requirement. The Service is intended for family caregivers, care recipients' authorized representatives, and members of care support networks.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
3.3 Accurate Information
You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
4. SMS/Text Messaging Terms and Conditions
4.1 General Communication and Marketing Terms
By providing your mobile phone number to Innerhive and opting into our SMS program, you expressly consent to receive recurring automated text messages from Innerhive at the mobile number provided. When you opt in to the service, we will send you a message to confirm your signup.
By opting into messages, you agree to receive recurring automated marketing and informational text messages from Innerhive. Automated messages may be sent using an automatic telephone dialing system to the mobile telephone number you provided when signing up or any other number that you designate.
4.2 Message Content and Frequency
Text messages may include:
- Service-related notifications and updates about your Innerhive account
- Marketing and promotional messages about Innerhive products and features
- Information about new offerings relevant to caregivers
- Account activation links and care reminders
- Operational notifications related to your care coordination
Message frequency varies, and additional mobile messages may be sent periodically based on your interaction with Innerhive. Innerhive reserves the right to alter the frequency of messages sent at any time to increase or decrease the total number of sent messages. Innerhive also reserves the right to change the short code or phone number or alphanumeric sender from which messages are sent.
4.3 Consent and Purchase Condition
Your consent to receive marketing messages is not a condition of any purchase or use of Innerhive services. You may opt out at any time without affecting your ability to use our other services.
4.4 Message and Data Rates
Your standard message and data rates may apply to all SMS communications. If you have any questions about your text plan or data plan, contact your mobile provider. Your mobile provider is not liable for delayed or undelivered messages.
4.5 Carrier Liability
Participating carriers are not liable for delayed or undelivered messages. Message delivery is subject to effective transmission from your network operator and other factors outside our control.
4.6 Opt-Out/Cancellation
You may opt out of receiving text messages at any time by:
- Replying "STOP" to any text message you receive from Innerhive
- Using any unsubscribe link included in our messages
- Emailing us at hello@innerhive.com
After you unsubscribe, we will send you a final confirmation message that you have been unsubscribed. No more messages will be sent to your mobile number unless you opt in again.
4.7 Help and Support
For support regarding SMS services, you may:

If we include a link in messages we send you, you may access instructions on how to unsubscribe and our company information by following that link.
4.8 Number Transfer/Change
You agree that before changing your mobile number or transferring your mobile number to another person, you will:
- Reply "STOP" from the original number, OR
- Use any unsubscribe link included in our messages, OR
- Notify us of your old number at hello@innerhive.com
Informing us of number changes is a condition of using this SMS service.
4.9 Program Changes
We reserve the right to change, suspend, or terminate our SMS program at any time. We may also update these SMS terms at any time. Changes will be effective immediately upon posting. Your continued participation following such changes constitutes acceptance of the updated terms.
5. Acceptable Use Policy
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Infringe upon the rights of others, including intellectual property rights
- Transmit any harmful code, viruses, or malicious software
- Harass, abuse, or harm another person or entity
- Engage in any activity that disrupts or interferes with the Service
- Attempt to gain unauthorized access to any portion of the Service
- Use the Service for any illegal or unauthorized purpose
- Collect or harvest any personally identifiable information from the Service
- Use automated systems or software to extract data from the Service without permission
6. User Content
6.1 Your Content
You retain ownership of any content you submit, post, or display on or through the Service, including but not limited to care notes, appointment recordings, care plans, documents, and care team information ("User Content"). By submitting User Content, you grant Innerhive a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such content for the purpose of providing and improving the Service, including AI-powered features such as appointment summarization and care insights.
6.2 Content Standards
You represent and warrant that your User Content:
- Does not violate any third-party rights- Is not false, misleading, or fraudulent
- Does not contain offensive, defamatory, or discriminatory material
- Complies with all applicable laws and regulations
6.3 Content Removal
We reserve the right to remove any User Content that violates these Terms or that we deem inappropriate, without prior notice.
7. Intellectual Property Rights
7.1 Innerhive Property
The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Innerhive and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used without our prior written consent.
7.2 Feedback
Any feedback, comments, or suggestions you provide regarding the Service is entirely voluntary and we will be free to use such feedback without any obligation to you.
8. Privacy and Health Information

While Innerhive helps you organize and share care information, we are not a covered entity under HIPAA and the Service is not intended to replace professional medical advice, diagnosis, or treatment. 9. Payment Terms (if applicable)
9.1 Fees
Certain features of the Service may require payment of fees. You agree to pay all applicable fees as described in the Service.
9.2 Billing
By providing payment information, you authorize us to charge the applicable fees to your chosen payment method. All fees are non-refundable unless otherwise stated. If you purchase services on a subscription basis, we will automatically charge you on a recurring basis using the payment information you have provided.
9.3 Taxes
You are responsible for all applicable taxes related to your use of the Service, except for taxes based on Innerhive's net income.
10. Unsolicited Information and Feedback
From time to time, you may provide us with feedback, suggestions, ideas, or other information related to the Service ("Feedback"). You acknowledge and agree that:
- All Feedback becomes the exclusive property of Innerhive without any compensation to you
- Innerhive may use and implement any Feedback without restriction or obligation to you
- You waive any rights you may have in any Feedback
- You warrant that any Feedback you provide is original and does not violate any third-party rights
We do not seek confidential or proprietary information through general feedback channels. Please do not send us any information you consider confidential or proprietary.
11. Beta or Pre-Release Services
We may offer certain features or services in beta or pre-release form ("Beta Services"). Beta Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind. Beta Services may contain bugs, errors, or inaccuracies and may not function properly. Your use of Beta Services is at your own risk.
For Beta Services:- We make no guarantees about availability, functionality, or continuity- We may modify or discontinue Beta Services at any time without notice- Feedback about Beta Services may be used without compensation to you- Our total liability for Beta Services is limited to $100 or the minimum amount allowed by law
11.1 Service Availability and Performance
While we strive to provide reliable service, SMS message delivery depends on factors outside our control, including:
- Network operator transmission and coverage
- Your mobile device's capabilities and settings
- Network congestion and technical issues
We do not guarantee that all messages will be delivered successfully or within any specific timeframe.
11.2 No Guarantee
Innerhive does not warrant that the Service will be uninterrupted, timely, secure, or error-free. We do not warrant that the results obtained from the use of the Service will be accurate or reliable.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL INNERHIVE, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.
IN NO EVENT SHALL INNERHIVE'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU HAVE PAID TO INNERHIVE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
13. Indemnification
You agree to defend, indemnify, and hold harmless Innerhive and its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these Terms or your use of the Service.
14. Termination
14.1 Termination by You
You may terminate your account at any time by following the instructions within the Service.
14.2 Termination by Innerhive
We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach these Terms.
14.3 Effect of Termination
Upon termination, your right to use the Service will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive.
15. Governing Law and Dispute Resolution
15.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of California, United States, without regard to its conflict of law provisions.
15.2 Dispute Resolution

Your continued use of the Service after such modifications constitutes your acknowledgment and acceptance of the updated Terms.
